OTP Bank Agrees to Acquire Luminor to Expand Baltic Banking Presence

OTP Bank

OTP Bank agrees to purchase 100% of the shares of Luminor Holding, the parent company of Luminor Bank. The OTP Bank deal is with a consortium of private equity funds managed by Blackstone and DNB Bank. OTP Bank will complete the acquisition subject to receipt of the necessary regulatory approvals.

The company said OTP Bank agreed to buy the ownership interests in Luminor from the current shareholders, a consortium of private equity funds managed by Blackstone and DNB Bank.

The acquisition is in line with Luminor’s strategy to reinforce its position as one of the leading universal pan-Baltic banks. The bank also wants to continue with its digital-first business model and expand its customer-centric financial services. In recent years, Luminor has also made significant investments in modernizing its technology infrastructure and improving operational efficiency.

The company has developed its business model and grown its customer base in all the Baltic markets. It has also accelerated the digital transformation of its operations with investments in scalable banking technology and modern IT platforms. The bank has thus increased its capacity to serve retail and business customers more efficiently.

Wojciech Sass, Chief Executive Officer of Luminor, said: “This transaction is an important step in our development. Both Luminor and OTP Bank share a clear commitment to customers, long-term value creation and financing the real economy of our home markets. As part of OTP Group, Luminor will have the backing of an experienced international banking group with a strong presence across Central and Eastern Europe. I want to thank Luminor employees for their contribution to Luminor’s development and their continued dedication to supporting our customers and the Baltic economies.”

Acquisition supports regional banking growth and digital innovation

OTP Group has consistently focused on creating sustainable value in new markets through strategic acquisitions. In addition, the group provides acquired institutions with capital resources, liquidity, and advanced technological expertise. This approach enables banks to strengthen operations while maintaining long-term business stability.

Péter Csányi, Chief Executive Officer of OTP Bank, added: “As one of the leading banking groups in Central and Eastern Europe, OTP Group has demonstrated over the past decades its ability to create value in new markets. We invest capital, liquidity and technological expertise into acquired banks and apply a long-term ownership approach. Building on Luminor’s strong market position, our goal is to further strengthen the bank’s role in the Baltic states and contribute to the development of the region’s financial system, lending activity and financial innovation.”

Following completion of the transaction, OTP Bank expects to build on Luminor’s established market position across the Baltic states. Moreover, the group plans to support lending activity, financial innovation, and broader economic development throughout the region. The acquisition also reflects continued momentum in the European banking sector, where digital banking, financial technology, and strategic consolidation remain key industry trends.
