Bregal Sagemount makes strategic growth investment in ATOZ Services to accelerate its international expansion and further its acquisition-led growth strategy. The investment will support the company’s long-term vision to be a leading global fund services platform.
The agreement establishes a partnership between Bregal Sagemount, ATOZ Group and ICG. Under the proposed transaction, Bregal Sagemount would become the majority shareholder of ATOZ Services. At the same time, ATOZ Group and ICG will stay on as minority owners. The transaction is subject to customary closing conditions and regulatory approvals.
“This investment is a significant milestone for ATOZ Services. And it leverages the strong platform that the company has built over the past eight years as an independent business.
Launched in 2018 as part of ATOZ Group, ATOZ Services offers fund-linked special purpose vehicle (SPV) services, fund administration and fund governance, risk and compliance solutions. The firm has developed long-term relationships with leading alternative investment managers by virtue of its technical expertise, responsive client support and strong regulatory knowledge.
Today, ATOZ Services supports more than 800 clients in private equity, private credit and real estate. In addition, the company continues to strengthen its position by providing complete fund services during the entire investment lifecycle.
Investment Drives AI Expansion And Global Growth
Over the years, ATOZ Services has grown beyond the original SPV offering. The company has also extended its regulated fund administration services, opened a client-facing presence in the United Kingdom and strengthened its Fund GRC capabilities.
As part of the partnership, Bregal Sagemount will back further organic growth initiatives. These efforts include increased investment in AI enablement, expansion into new geographic markets and broader service capabilities. This means the firm anticipates delivering more value to investment managers operating in increasingly complex regulatory environments.
“This investment marks an important milestone for ATOZ Services and builds on the platform we have developed over the past eight years as a standalone entity,” said Chafai Baihat, CEO of the Company. “Our approach has always been grounded in technical quality, high customer engagement and a close understanding of our clients’ complex needs. We are excited to partner with the Sagemount team as we continue investing in our people and AI, expanding into new markets and further strengthening the services we provide.”
The partnership reflects confidence in the company’s operating model and future growth potential.
“ATOZ Services has built a differentiated position in the Luxembourg fund services market, with best-in-class retention and client advocacy that come from high-quality service,” said Gene Yoon, Managing Partner at Sagemount. “We look forward to partnering with Chafai and the team to support ATOZ Services’ expansion across new markets and service lines, and to build on the strong platform they have created.”
“We at Sagemount are thrilled to support Chafai and the broader senior team’s ambitions of scaling into a global leader in the category, underpinned by continued superior client service and bolstered AI investment. We look forward to leveraging our platform’s resources to achieve those ambitions together as partners,” added Gurmaan Bhatia, Principal at Sagemount.
Fatah Boudjelida and Keith O’Donnell, CEOs of ATOZ Group, added “This is an exciting milestone for ATOZ Services. ATOZ Group is truly honored to welcome Sagemount as majority investors into ATOZ Services business to support the next phase of the growth journey, and we are keen to maintain and develop the ATOZ Services relationship with ATOZ Group.”
Mark Piasecki, Managing Director at ICG, added: “It has been a privilege to support ATOZ Services through a highly successful period of growth, service line expansion and internationalization. There is significant future headroom and ICG is therefore delighted to be continuing to support Chafai and the team on its growth journey with Sagemount.”
Additionally, Goodwin Procter LLP served as legal counsel to Bregal Sagemount during the transaction. Baird acted as the exclusive financial advisor to ATOZ Services, while A&O Shearman represented the company as legal counsel.
The transaction will close after receiving regulatory approvals and satisfying customary closing conditions.
